听说ACCA小伙伴要考试，小编要再次提醒大家，ACCA F4的考试是Eng，EngEngEng，没有选错的小伙伴要记得ACCA监考老师会不会发错。。。。

言归正传，我们开始来八一八F4的考试复习纲要。

PartA Essential elements of the legal system

主要考查英国的法律体系。大家要记得各大法院处理的案子类型和上诉的法院。

Type of law（civil law 和 criminallaw）

The system of courts（civil law 和 criminallaw）

The Human Right Act 1998

Part B The law of obligations（contract）必考题。从合同的签订到合同的内容，再到违约，最后是违约后的赔偿。特别要注意的是侵权tort和疏忽negligent。

Offer（与supply of information 和invitation to treat区分；offer的终止） and Acceptance

Consideration

Intention to create legal relations

Exclusion clauses

Breach of contract

Damages and remedies

Tort of negligence（尤其在会计师和审计师的情景题中）

劳动法的重点在于：

Part E Capital and the financing of companies

Share capital

Loan capital（charges）

Reduction of share capital；distributing dividends

PartF Management, administration and the regulation of companies

Directors（types、appointment、remuneration、vacation of office、power、duties）

Others（the company secretary、auditor）

Annual general meeting（AGM）

Part G Insolvency law
